Terms and conditions

When accepting the quote, the client agrees to these terms and conditions as stated. The Dutch text of the general terms and conditions is always decisive for the explanation thereof.

Terms and conditions in Dutch

 
  • These are the words used in general terms and conditions and what they mean:

    1. Quote: all offers from zuidveen.work to (legal) entities / clients with whom it is intended to enter into an agreement.

    2. Assignment: the service and/or product to be provided by Zuidveen.Work.

    3. Client: the counterparty of Zuidveen.Work

    4. Opdracht: de dienst en/ of het product dat door Zuidveen.Work geleverd zal worden.

    5. Zuidveen.Work: Jake Zuidveen, also user of these general terms and conditions and contractor.

    6. Cancellation: termination or dissolution of the Agreement.

    7. Written: electronic communication such as e-mail, provided that the identity of the sender and the authenticity of the communication are sufficiently established. The burden of proof regarding receipt of electronic communication lies with the Client at all times.

    8. Aw: Auteurswet 1912.

  • 1. Zuidveen.Work reserves the right to amend or supplement these general terms and conditions. These changes are in effect for the assignments that the Client has carried out.

    2. The most recently filed version or the version that applied at the time of the establishment of the legal relationship with Zuidveen.Work is always applicable.

  • 1. These general terms and conditions apply to every offer, quotation and agreement between Zuidveen.Work and a Client to which Zuidveen.Work has declared these terms and conditions applicable, insofar as the parties have not expressly deviated from these terms and conditions in writing. The conclusion of an Agreement with Zuidveen.Work implies that the Client unconditionally accepts the applicability of these conditions.

    2. Provisions or conditions set by the Client that deviate from or do not appear in these general terms and conditions are only binding on Zuidveen.Work if and insofar as they have been expressly accepted by Zuidveen.Work in writing.

    3. The client will designate one contact person for each assignment. All communication between Zuidveen.Work and the Client goes through this person. The contact person has the responsibility to act on behalf of the client.

  • 1. Zuidveen.Work makes an offer in the form of a Quotation.

    2. Unless otherwise agreed, the offer loses its validity for a maximum of 30 days after the date of dispatch by Zuidveen.Work.

    3. Zuidveen.Work reserves the right to withdraw the offer, even within 30 days.

    4. Quotations in offers and Quotations may undergo changes due to (unforeseen) changes in the work or the Assignment or price increase of the raw materials. Zuidveen.Work will inform the Client of this as soon as possible and as far in advance as possible.

    5. The date for recording and delivery is only agreed upon acceptance of the offer.

    6. By referring Zuidveen.Work to possible Client(s), they will receive a refund of 15% of the offer price with their next assignment. This only applies if they become a Client at Zuidveen.Work.

    7. If Zuidveen.Work offers its craftsmanship, services and/or production to the Client free of charge, the actual price thereof will still be included in the quotation. This gives the Client a real indication of the value of the work delivered.

  • 1. The client must accept the offer explicitly and in writing. It is only binding for Zuidveen.Work after the Assignment has been accepted by Zuidveen.Work and the written order confirmation signed by the Client has been returned.

    2. If the Order has been given orally, or if the signed order confirmation has not yet been returned, the Agreement is deemed to have been concluded subject to the applicability of these Terms and Conditions at the moment that Zuidveen.Work at the Client's request with the execution of the Assignment has started. In this case, if the Client does not respond to the content of the order confirmation within 3 working days of the request, it will be regarded as correct and complete and the Client and Zuidveen.Work are bound by its content.

    3. After acceptance, the Agreement can only be amended by mutual consent. In that case, Zuidveen.Work is entitled to adjust the price owed for the Agreement.

    4. Zuidveen.Work reserves the right to refuse an assignment if new information becomes available after acceptance that makes execution unacceptable for Zuidveen.Work.

  • 1. Zuidveen.Work will carry out the Assignment to the best of its knowledge and ability and in accordance with the requirements of good workmanship, in the style in which Zuidveen.Work usually works.

    2. The Client is obliged to do all that is reasonably necessary and desirable to enable a timely and correct execution of the Assignment, including but not limited to permission and fees with regard to the locations chosen or designated by the Client where they want to record the video.

    3. If and insofar as required for proper execution of the Agreement, Zuidveen.Work has the right to have certain activities performed by auxiliary persons, freelancers and third parties. When engaging third parties, Zuidveen.Work will exercise due care.

    4. Changes to the scope of the accepted project will be charged hourly.

    5. Every project offered over 1000 euros excluding VAT/ BTW: 50% payment is due prior to the first day of production. 50% payment is due upon delivery of final video. Two Invoices will be sent.

    Or full payment upfront with a 10% discount on the accepted offer, before the actual shoot day.

  • 1. Zuidveen.Work only uses the agreed delivery times, unless otherwise agreed.

    2. Zuidveen.Work supplies the produced image material, as included in the quotation.

    3. Zuidveen.Work supplies the produced image material in the best format for the intended online platforms and/or in the best resolution quality for further personal use.

    4. The images are delivered by email, at least by means of a download option, for example via www.wetransfer.com, or via a google drive link.

    5. After delivery of the produced visual material to the Client, Zuidveen.Work is not obliged to archive or store this and other visual material. Unless this wish has been agreed with the Client, whereby this will be taken into account.

    6. Zuidveen.Work will offer one preview version for the production of the end product, which will be described as the 'first version'. After making this preview version available, there is room for a maximum of one correction round. During this correction round, wishes for adjustments can be passed on to Zuidveen.Work. Corrections can be made up to five working days after availability of the first version. Wishes for adjustment stated later may lead to additional costs for the Client. The wish(s) for adjustment must, however, be regarded as reasonable. This includes correcting titles, name titles and minor substantive changes.

    7. Making changes to an order that has already been placed may result in Zuidveen.Work exceeding the originally agreed delivery time.

  • 1. The compensation and any cost estimates are in euros and exclusive of VAT and any other government levies.

    2. If Zuidveen.Work deems it desirable, Zuidveen.Work is entitled to ask the Client for a reasonable advance on the compensation for the work still to be performed. Zuidveen.Work is entitled to suspend the start of its work until the advance has been paid or sufficient security has been provided for this.

    3. If it is not possible to speak of a customary fee, Zuidveen.Work will charge a reasonable and fair fee for the delivered goods.

    4. If it is plausible that Zuidveen.Work has incurred higher costs and/or has performed additional work, which were reasonably necessary, Zuidveen.Work will pass this on to the Client or taken directly out of the approved contingency budget.

    5. Unless otherwise agreed in advance, the final compensation will be based on work performed and costs incurred on the basis of subsequent calculation, taking into account the agreed (hourly) price and other commonly used prices.

    6. Zuidveen.Work have the option to offer a price under a 1000 euros to evaluate new clients working with Zuidveen.Work.

  • 1. Zuidveen.Work will send an electronic invoice to the Client for the amount owed by the Client, unless otherwise agreed.

    2. The payment obligation also applies if the Client does not wish to make use of the work or services produced in the context of the Agreement.

    3. Payment term companies and organizations: Unless otherwise agreed, the payment term is 30 days after the invoice date.

    4. Payment term other customers - Unless otherwise agreed, the payment term is 14 days after the invoice date.

    5. In the event of late payment, the following payment terms and costs apply:

    First reminder: 10 days, no extra costs

    Second reminder: 10 days, 25 euros administration costs and the statutory interest is owed on the outstanding invoice amount without further notice of default by Zuidveen.Work.

    6. Zuidveen.Work can make different agreements with the client about the payment of any down payment.

  • 1. If an invoice is not paid within the payment term, Zuidveen.Work can, after the Client has been informed of this, suspend all work on behalf of the Client until the amount of the invoice has been paid.

    2. If the Client does not provide the information required for the performance of the Assignment in time or fails to be present (on time), while this is necessary for the performance of the Assignment, Zuidveen.Work is entitled to suspend or dissolve the Agreement.

    3. Suspension or dissolution of the Agreement takes place In Writing.

    4. In the event of termination of the Agreement by the Client, Zuidveen.Work will charge 25% of the quotation.

    5. In the event of serious circumstances or illness as a result of which it is not possible for Zuidveen.Work to carry out the Assignment itself on the agreed date, Zuidveen.Work will arrange for a replacement professional if required, if desired, otherwise a new date correspond.

    6. If the production cannot take place due to circumstances, including weather conditions or an accident, both Zuidveen.Work and the Client are entitled to change the date of execution of the Assignment. If the Client and Zuidveen.Work agree on a new date that is no more than 6 months away from the date originally agreed, no price change will take place. After these 6 months, both the Client and Zuidveen.Work are entitled to dissolve the agreement and Zuidveen.Work is entitled to offer a new price.

    7. Cancellation within 48 hours prior to the work will be charged at a rate of 60% of the quotation.

  • 1. Complaints about the implementation of the agreement must be submitted in writing to Zuidveen.Work no later than 5 working days after receipt of the visual material, or at least after delivery of the agreed products.

    2. Complaints after the term referred to in paragraph 1 will no longer be processed. Complaints or objections submitted do not suspend the payment obligation.

    3. If a complaint is justified, Zuidveen.Work will still deliver the services/goods as agreed, unless this has become demonstrably pointless by the Client in the meantime. The latter must be made known in writing by the Client.

  • 1. Each Agreement also includes the license described in this article with regard to the photographic / videographic work of Zuidveen.Work, unless otherwise agreed.

    2. Zuidveen.Work grants the Client a license with which the images supplied may be made public on a personal website and via personal social media accounts, provided that Zuidveen.Work is explicitly mentioned.

    3. The client must observe the personality rights of Zuidveen.Work, including the obligation to mention the name, as stated.

    4. All text, sound and images produced by Zuidveen.Work (concepts, scripts, scripts, video images, photos, animations, etc.) are subject to copyright and are protected by copyright. Use of copyrighted material must be authorized by the author.

    5. Unless otherwise agreed, the Client is not authorized to grant sub-licences to third parties, nor to transfer its own licence. This includes, but is not limited to, the delivery of images to suppliers, third-party websites or media.

    6. Infringement of the copyrights and/or personality rights of does not entitle you to further use of the work of the Zuidveen.Work.

  • 1. Some Projects use one or more voice-overs, or texts recorded by a voice actor. The costs of a voice-over are included in the additional costs that are not included in the quotation, unless stated otherwise. Unless otherwise agreed in writing, Zuidveen.Work will add these separately to the final invoice.

  • A Client receives the copyright to the video production ordered by him, for the purpose specified in the quotation. If a customer wishes to extend the copyright or make physical copies, this will be done in consultation with Zuidveen.Work. This also has to do with any rights of third parties to used music and visual material. In case of copyright infringement, Zuidveen.Work is not responsible for any claims from third parties.

  • Zuidveen.Work handles the data of all our Clients with care. Only the data that is necessary to do business with each other is kept. Personal data and video recordings are not sold on. All data is either offline or on well-secured servers.

  • 1. Unless any statutory provision, regulation or other rule obliges it to do so, Zuidveen.Work is obliged to maintain confidentiality towards third parties with regard to confidential information obtained from the Client. The Client may grant an exemption in this regard.

    2. Zuidveen.Work will maintain all confidential information obtained under or in connection with this agreement, and will not divulge such confidential information to any individual or third party without Client prior written consent. In this regard, confidential information includes, but is not limited to, any material, documentation, software, data (business data, financial data, strategic data), information, know-how or trade secrets which have been marked as confidential or which confidential nature should reasonably be known to Zuidveen.Work. In the event of doubt, Zuidveen.Work shall at all times first consult with the Client. This will not extend to Confidential Information which was rightfully in the possession of the Zuidveen.Work prior to the commencement of the negotiations that led to this agreement; which was already in the public domain or becomes so at a future date. If requested, Zuidveen.Work will sign a confidentiality agreement in a form specified and provided by the Client. These obligations of confidentiality will survive the expiry or any termination of this agreement.

    3. Zuidveen.Work reserves the right to not share its process and pricing.

  • 1. Zuidveen.Work reserves the right to use the works for developing future business opportunities, including, but not limited to, website use, portfolio use and social media use, unless otherwise agreed.

    2. Zuidveen.Work reserves the right to make a director’s cut of the delivered video’s with the captured media files.

    3. Objections to disclosure of the delivered digital product must be made known to Zuidveen.Work in writing prior to the agreement.

    4. Deviating agreements are recorded in writing.

  • 1. Zuidveen.Work is not liable for any damage caused to the Client, unless there is intent or gross negligence on the part of Zuidveen.Work or its representatives.

    2. Zuidveen.Work is not liable for color deviations on non-calibrated screens or prints that are not supplied by Zuidveen.Work.

    3. The liability is limited to the amount of the invoice.

  • 1. If a provision of the Agreement and/or the general terms and conditions proves to be void or voidable, the other provisions and the Agreement will remain in force.

    2. All legal relationship between Zuidveen.Work and the Client is exclusively governed by Dutch law.

    3. If the parties have a dispute as a result of the Agreement, they will try to reach a solution in consultation.
